Overall, I like this proposal. One possible alternative to consider: Instead of 3 seats up with each election and elections happening every 2 our of 3 years, consider how to get to a state where there are 2 seats up each year. That would always have 4 continuing board members through each election cycle. |

I'm generally supportive of the shift to three-year terms as a way to strengthen board continuity and leadership development. That said, I have a mild concern about how the proposal appears to affect current directors—specifically those already elected under two-year terms. Retroactively changing the duration of their service could raise questions about process integrity and expectations. One alternative might be to implement the three-year term beginning with future elections rather than altering the terms of sitting directors. This would maintain the spirit of the change while honoring the commitments made during the last election. |
We are proposing to extend the term of directors from two years to three years. We have found that rapid turnover within the foundation has made it difficult to address longer-term issues and have a reasonable promotion of directors to leadership roles within the foundation. It's important that leadership roles are able to grow first observing in the foundation before taking on a leadership role and in turn advancing to a higher role. Having a three-year term affords the possibility of doing this within a single term.
As part of changing to the three-year term, there will not be an election cycle in 2025 with the next cycle being in 2026.
